PicoKey App – Terms & Conditions

These Terms & Conditions govern the purchase and use of the PicoKey App software and associated digital licenses (“the Software”). By purchasing or using PicoKey App, you agree to these Terms.
1. License Grant
PicoKey App is licensed, not sold.
Each purchased license grants the right to use PicoKey App to register one (1) PicoKey device.
If multiple devices are to be registered, a corresponding number of licenses must be purchased.
Licenses are personal, non-transferable, and may not be shared, resold, or redistributed.
2. License Activation and Consumption
A license is considered activated and consumed once it is used to register a PicoKey device through the PicoKey App.
After activation, the license cannot be reused to register additional devices unless explicitly permitted by the license terms.
A license that has been activated on a PicoKey device is permanently bound to that device. License transfers, migrations, reassignments, or changes to another board are not supported. Because no mechanism exists to unregister or deactivate a device, an activated license cannot be moved to a different PicoKey under any circumstances.
Customers are responsible for ensuring that they activate the license on the intended device before completing the registration process.
3. Refund Policy
Due to the digital nature of the Software and licenses, refund requests are only accepted within fifteen (15) days from the date of purchase and only if the license has not been activated or used to register any PicoKey device.
Once a license has been activated or used to register a PicoKey device, the purchase becomes final and non-refundable.
Refund requests submitted after the 15-day period will not be accepted.
For eligible refund requests submitted within the 15-day period and before license activation or device registration:
- If the refund is due to a verified malfunction, defect, or error of the PicoKey App that prevents the customer from using the purchased license as intended, and the issue is attributable to PicoKeys and cannot be resolved within a reasonable time, PicoKeys will refund the full amount paid for the affected license.
- If the refund is requested because the customer no longer wishes to use the Software, changed their mind, purchased the wrong license, or for any other reason not attributable to a malfunction, defect, or error of the PicoKey App, PicoKeys may deduct from the refunded amount any non-recoverable payment processing fees, transaction fees, currency conversion fees, chargeback-related costs, and non-recoverable taxes or fiscal charges incurred in connection with the purchase.
PicoKeys reserves the right to verify the license usage status, the date of purchase, and the reason for the refund request before approving any refund.
4. Digital Delivery
Licenses and software are delivered digitally. By completing the purchase, you acknowledge that digital delivery may occur immediately.
By activating the license or using it to register a PicoKey device, you expressly request immediate performance of the digital service and acknowledge that the license is considered activated and consumed.
Once the license has been activated or used to register a PicoKey device, the purchase becomes final and non-refundable, in accordance with the Refund Policy.
5. Acceptable Use
You agree not to:
- Attempt to bypass license restrictions.
- Modify, reverse engineer, or tamper with license validation mechanisms.
- Use the Software in a way that violates applicable laws or regulations.
Unauthorized use may result in license termination without refund.
6. Availability and Updates
PicoKeys may provide updates to PicoKey App and related firmware.
Updates may be required to maintain compatibility, security, or functionality.
PicoKeys does not guarantee perpetual availability of any specific version.
7. Disclaimer of Warranties
The Software is provided “as is”, without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or uninterrupted operation.
8. Limitation of Liability
To the maximum extent permitted by law, PicoKeys shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Software.
9. Changes to These Terms
PicoKeys may update these Terms from time to time.
The version in effect at the time of purchase will apply to that purchase.
